UNITY® ACCOUNTING

In this Subscription Agreement (the “Agreement”), the terms “You” or “Your” refers to the customer signing up to use the Unity Accounting platform (“Services”) and “We”, “Us” or “D&D” refers to Dye & Durham Corporation or any of its affiliates, assigns and successors.

By clicking “Save Card and Subscribe”, You agree as follows:

1. Term: Your subscription will continue for a period of three (3) years (“Initial Term“) unless terminated earlier as set forth in (2) below. Upon expiration of the Initial Term, Your subscription will automatically renew for successive terms of length equal to the Initial Term (each a “Renewal Term”, and together with the Initial Term, “Term”) unless either party provides written notice of non-renewal to the other, at least sixty (60) days prior to the end of the applicable Term.

2. Free Trial: You will not be charged for the use of the Services for the first year of the Term (“Free Trial Period”). You can cancel the Services without penalty within the first seven (7) days of the Free Trial Period. If You do not cancel the Services within the first seven (7) days of the Free Trial Period, Your subscription will continue for the rest of the Initial Term. If You cancel the Services after the first seven (7) days of the Free Trial Period, D&D shall have the right to accelerate payment of the entire unpaid subscription fees for the Initial Term, which will become immediately due and payable, and Your payment method will be charged accordingly. You acknowledge and agree that this fee arrangement is made in consideration of the mutual covenants set forth in this Agreement and the Terms of Use set out in (4) below.

3. Fees and Payment:

(a) After the Free Trial Period, You authorize us to automatically charge Your payment method(s) every month. We will automatically charge you ninety-nine Canadian Dollars (CAD $99) or the then current rate for each of the user licenses selected on the order form, plus applicable taxes, every month of the Term (the “Subscription Fee”). You may purchase additional licenses at the applicable rates and an additional fee will be charged to Your payment method(s) every month to reflect this change.

(b) If Your primary payment method fails, You authorize us to charge any other payment method in Your account. If You have not provided us with a backup payment method(s) and You fail to provide payment, or if all payment methods in Your account fail, We may suspend Your subscription. During any such suspension, You may lose access to some subscription features and functionality. We will continue to attempt to charge Your payment method(s) for the remainder of the Term, and upon payment being received, Your full subscription access will be restored. You can edit Your payment information anytime in your Unity Accounting Account.

(c) If You fail to pay the Subscription Fees within thirty (30) days of the due date, interest will accrue at the rate of 1.5% per month, or the highest rate permitted by law, whichever is lower, without prejudice to D&D’s rights to recover the debt including legal costs, and reasonable expenses incurred in attempting to recover the debt from You.

(d) The Subscription Fee will remain fixed for the Initial term. With effect from the commencement date of the Renewal Term, the Subscription Fee will automatically increase by a percentage equal to the percentage increase in the Canadian (All-Items) Consumer Price Index (the “CPI”) compounded over the Initial Term plus an amount equal to four percent (4%) of the Subscription Fees last charged. For subsequent Renewal Terms, effective as of each anniversary date of the commencement date of the Renewal Term, the Subscription Fee will automatically increase by a percentage equal to the percentage increase in the CPI during each previous year of the Renewal Term, plus an amount equal to four percent (4%) of the Subscription Fees last charged. In no event will the Subscription Fees decrease if there is a decrease in the CPI.

4. Terms of Use: In addition to the terms of this Agreement, the Terms of Use available at https://dyedurham.ca/license/esilaw-360/ (which may be changed at D&D’s discretion from time to time) shall also apply to your use of the Services and are incorporated into this Agreement. By using the Services, You agree that You have read and fully agree to the Terms of Use and Privacy Policy. In the event of any conflict or inconsistency between this Agreement and the Terms of Use, this Agreement shall prevail.
